Terms & Conditions
RemedyX Holdings LLC d/b/a RemedyX
Version 3.3.0
Effective Date: September 2, 2026
1. Agreement to Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and RemedyX Holdings LLC d/b/a RemedyX ("Company," "we," "our," or "us") governing your purchase and use of our products.
1.1. Active Acceptance. By submitting an order — including clicking "Pay Now" or any equivalent order-submission action — you affirmatively confirm that you have read, understood, and agree to be bound by these Terms & Conditions and the applicable Checkout Compliance Acknowledgment. This affirmative action constitutes your electronic signature and binding assent to these Terms. Submission of an order constitutes an offer to purchase and does not obligate RemedyX to accept or fulfill the order. Acceptance of an order is governed by Section 4.
1.2. Binding Effect. By proceeding through checkout and submitting your order, you are certifying the intended use of the products and explicitly agreeing to be bound by these Terms & Conditions in their entirety.
1.3. Pre-Condition of Sale. Placement of an order is expressly conditioned upon your affirmative declaration of research intent. If you do not agree with these Terms or the Research Use Only policy described herein, you must not proceed with the transaction. You acknowledge that RemedyX relies upon your research-use certification as a material condition in agreeing to complete the transaction.
2. Eligibility & Purchaser Requirements
By purchasing from RemedyX, you represent and warrant that:
- You are at least twenty-one (21) years of age;
- You are legally capable of entering into a binding contract;
- You are purchasing solely for lawful laboratory research purposes;
- You are authorized to make this purchase for legitimate research purposes and will not purchase on behalf of unrelated third parties, resell, redistribute, or transfer these products;
- You possess the appropriate knowledge, safety equipment, and facilities for handling research materials.
Before submitting an order, each purchaser must select the researcher category that best describes their purchasing capacity: Academic/University Researcher, Biotech or Pharmaceutical Professional, Contract Research Organization (CRO), Private/Independent Researcher, or Institution/Lab Researcher. This classification, together with the purchaser’s Research Use Only certification and Checkout Compliance Acknowledgment, is required as a condition of purchase. RemedyX may request additional information or documentation reasonably necessary to evaluate research intent, purchaser eligibility, or compliance with these Terms. Failure or refusal to provide requested information may result in the order being declined or cancelled.
Orders placed by individuals under 21 years of age are unauthorized and constitute a violation of these Terms.
2.1. Purchaser Screening & Eligibility Review
RemedyX maintains purchaser-screening and order-review procedures designed to restrict access to products to purchasers representing a lawful research purpose. RemedyX may review purchaser classifications, order information, communications, transaction characteristics, purchasing patterns, and other reasonably available information for indications of prohibited or non-research use.
RemedyX may request additional information reasonably related to research intent or purchaser eligibility before accepting or fulfilling an order. RemedyX will decline, cancel, or place on hold any order where available information reasonably indicates intended human or veterinary use, personal use, therapeutic use, diagnostic use, resale for a prohibited purpose, or any other use inconsistent with these Terms.
Submission of payment does not guarantee acceptance of an order. All orders remain subject to RemedyX’s compliance review and acceptance.
2.2. Purchaser Declarations and Electronic Compliance Records
Purchasers must accurately identify their purchasing capacity and provide complete and truthful researcher information, organization information, and research-purpose declarations requested during registration, checkout, or compliance review. Selecting a researcher category or research purpose does not waive any purchaser-eligibility requirement or authorize a use prohibited by these Terms or the Compliance & Research Use Policy.
Before submitting an order, purchasers must complete the required checkout declarations and affirmatively accept the Checkout Compliance Acknowledgment. RemedyX may request additional information reasonably necessary to evaluate purchaser eligibility or research intent and may hold, decline, or cancel an order in accordance with these Terms.
RemedyX maintains electronic records of submitted checkout acknowledgments, including the acknowledgment wording and revision, recorded acceptance time, purchaser-provided declarations, and references to the linked policy revisions made available during checkout.
Checkout acceptance records are cryptographically signed when submitted to help detect subsequent alteration. Following successful payment, a separately signed record links the original acknowledgment to the resulting paid order.
These records are handled in accordance with our Privacy Policy. Nothing in this section limits rights available under applicable law or payment-network rules.
3. Research Use Only (RUO) & Material Representations
3.1. Strict Usage Policy. ALL PRODUCTS ARE SOLD STRICTLY FOR RESEARCH USE ONLY (RUO).
3.2. Mandatory Customer Certification. Before an order may be submitted, every registered purchaser must affirmatively accept the Checkout Compliance Acknowledgment and certify that all materials being purchased are intended solely for lawful laboratory research and analytical reference purposes. Completion of this affirmative acknowledgment is a mandatory condition of purchase and is recorded with the applicable transaction. RemedyX will not knowingly accept or fulfill an order where the purchaser communicates, indicates, or otherwise demonstrates an intended use inconsistent with these Terms. The following certification applies as a material condition of every sale:
I confirm that I am 21 years of age or older and am purchasing solely for lawful research purposes. I acknowledge that all products are strictly for Research Use Only and are not intended for human or animal consumption, administration, clinical, therapeutic, diagnostic, or personal use. I confirm that I am authorized to make this purchase for legitimate research purposes and will not purchase on behalf of unrelated third parties, resell, redistribute, or transfer these products. I also agree to the Terms & Conditions and Compliance & Research Use Policy and acknowledge the Privacy Policy.
RemedyX maintains records of checkout consent and transaction acceptance as described in its Privacy Policy. The version of the applicable Terms, policies, and Checkout Compliance Acknowledgment presented to and affirmatively accepted by the purchaser at the time of the transaction governs that Order.
Purchaser represents that all products are acquired solely for legitimate research purposes and not for personal, family, household, human, veterinary, therapeutic, diagnostic, or other consumer use.
3.3. Prohibited Uses. Products are intended solely for in-vitro laboratory research and are not approved, cleared, or authorized by the U.S. Food and Drug Administration (FDA) for human or veterinary use. Prohibited uses include, but are not limited to:
- Human or animal consumption (oral, injection, topical, or otherwise);
- Medical, therapeutic, diagnostic, or clinical procedures;
- Personal, cosmetic, medical, or therapeutic consumer use.
3.4. Material Breach. Your completion of the checkout process and submission of an order constitutes a material representation regarding the RUO nature of these products that is relied upon by RemedyX Holdings LLC d/b/a RemedyX. Any indication of misuse or intended misuse constitutes a material breach of these Terms. RemedyX reserves the right to refuse service, terminate accounts, and restrict future purchasing privileges for customers reasonably suspected of violating these Terms or the Research Use Only requirements.
3.5. No Waiver of Regulatory Position. Nothing in these Terms shall be interpreted as an admission that the products are intended for any use other than laboratory research purposes.
3.6. No Resale, Redistribution, or Transfer. Products purchased from RemedyX may not be resold, redistributed, transferred, assigned, repackaged, relabeled, or otherwise supplied to any third party. Each purchaser must independently satisfy RemedyX’s purchaser eligibility, Research Use Only, and compliance requirements and purchase directly from RemedyX.
Products may not be used in compounding, formulation, preparation, manufacture, or any other activity intended to facilitate human or veterinary administration, consumption, therapeutic use, diagnostic use, or another prohibited purpose.
3.7. Customer Handling and Legal Responsibility. You are solely responsible for confirming that your purchase, possession, storage, handling, transport, use, and disposal of the products are lawful in every applicable jurisdiction and are conducted by appropriately trained personnel in suitable facilities using appropriate safety controls. This includes compliance with applicable federal, state, and local laws, regulations, permits, export-control requirements, import requirements, and sanctions restrictions. RemedyX does not represent that a product may lawfully be purchased, possessed, transferred, or used in every jurisdiction.
3.8. Analytical Documentation and Regulatory Status. Certificates of Analysis, laboratory reports, analytical results, and other technical documentation describe testing or characteristics associated with an identified research material or batch only. Such documentation does not constitute FDA approval, clinical approval, authorization for human or veterinary use, a representation of therapeutic efficacy, a safety certification for administration, or a warranty of fitness for any prohibited use.
3.9. No Pharmacy, Compounding, or Clinical Services. RemedyX is a laboratory chemical supplier and is not a pharmacy, compounding pharmacy, healthcare provider, telemedicine provider, or medical practice. RemedyX does not prescribe, dispense, compound, administer, recommend dosing for, or provide medical treatment or patient-specific guidance involving any product offered through this website. RemedyX is not engaged in human drug compounding under Section 503A of the Federal Food, Drug, and Cosmetic Act and is not registered or operating as an outsourcing facility under Section 503B.
4. Order Acceptance & Right to Refuse
All orders are subject to review and acceptance by RemedyX. We reserve the right to:
- Place an order or account on hold pending compliance, fraud, payment, inventory, or legal review;
- Request additional information or documentation before processing or fulfillment;
- Decline, cancel, or place an order on hold when purchaser communications, purchasing behavior, order characteristics, or other available information reasonably indicates an intended non-research or prohibited use;
- Require additional information reasonably necessary to establish research intent before fulfillment;
- Restrict or permanently refuse future purchases when a purchaser indicates, promotes, requests information concerning, or otherwise demonstrates an intent to use products contrary to the Research Use Only restrictions;
- Refuse, cancel, or void any order, including when requested information is not provided within a stated response period;
- Limit order quantities;
- Suspend accounts suspected of fraud, policy violations, or high-risk behavior; and
- Retain transaction, order, delivery, and compliance records for as long as reasonably necessary for legal, payment-network, fraud-prevention, accounting, dispute-resolution, and regulatory purposes.
Electronic Order Receipt: Submission of an order constitutes an offer to purchase and does not constitute acceptance by RemedyX. An automated order confirmation acknowledges receipt of the order only. All orders remain subject to payment verification, compliance review, inventory availability, and acceptance by RemedyX. Acceptance occurs when RemedyX releases the order for fulfillment, except where applicable law requires otherwise. RemedyX reserves the right to decline, cancel, or place an order on hold before fulfillment in accordance with these Terms.
If an order is declined, cancelled, voided, or cannot be fulfilled, any captured payment will be refunded promptly in accordance with applicable law and the Refund & Return Policy. Once a refund has been initiated by RemedyX, the time required for the credit to appear may vary depending on the payment method, payment processor, and customer's financial institution. RemedyX will make reasonable efforts to communicate order decisions promptly. The absence of an immediate notice does not waive RemedyX's right to review, hold, decline, or cancel an order under this section.
5. Orders, Billing & Payment Authorization
5.1. Payment Authorization. By submitting payment information, you authorize RemedyX and its third-party payment processors to charge the designated payment method for the total amount of your purchase.
5.2. Billing Descriptors. You agree that charges may appear on your credit card statement under a descriptor such as "RemedyX" depending on the payment processor used. You agree not to flag these charges as fraudulent solely due to descriptor confusion.
5.3. Fraud Prevention. We utilize automated fraud detection systems. Transactions flagged as high-risk may require manual review or cancellation.
5.4. Payment Clearing Requirement. For orders submitted via ACH, eDebit, bank transfer, check, or Zelle, fulfillment and shipment will not commence until payment has been confirmed as received and funds are verified as fully cleared and available. RemedyX is not responsible for delays attributable to banking review procedures, payment processing timelines, fraud prevention measures, or settlement delays imposed by financial institutions.
Any stated processing or shipping timeframes begin only after payment confirmation and fund availability have been completed, not at the time of order submission.
5A. Promotional Codes & Discounts
5A.1. Conditions of Use. Promotional codes, discount codes, and offers issued by RemedyX are subject to the following conditions:
- Each code may only be used once per customer unless otherwise expressly stated at the time of issuance;
- Codes are non-transferable, have no cash value, and may not be combined with other offers unless expressly permitted;
- Codes may not be applied retroactively to submitted orders;
- Orders placed using an invalid, expired, or fraudulently obtained code may be cancelled and any discount removed prior to processing.
5A.2. Revocation. RemedyX reserves the right to revoke or invalidate any promotional code at any time without notice if it determines the code is being misused, shared publicly without authorization, or applied in a manner inconsistent with its intended purpose.
6. Order Confirmation
6.1. Customer Cancellations and Modifications. Orders enter processing promptly after submission. Customer-requested cancellations, substitutions, or modifications are not guaranteed once an order has been submitted, except where cancellation rights apply under applicable law or these Terms. Nothing in this section limits RemedyX's right to review, hold, decline, cancel, or refuse an order under Section 4.
6.2. Errors. If an error was made during checkout, you may contact our support team at support@remedyx.bio as soon as possible to report the issue. Contacting support does not guarantee cancellation, modification, or substitution of the order. RemedyX will make reasonable efforts to accommodate documented errors reported prior to shipment, but reserves the right to proceed with fulfillment in accordance with §6.1.
6.3. Acknowledgment. By placing an order, the purchaser acknowledges and agrees that their order details and shipping information have been reviewed and confirmed prior to submission.
7. Refund & Returns Policy
7.1. Final Sale and Physical Returns. Due to the nature of laboratory research materials and concerns regarding contamination, handling, and chain of custody after shipment, RemedyX does not accept physical product returns except where otherwise required by applicable law. This policy does not limit remedies available for damaged, defective, incorrect, undelivered, or otherwise qualifying orders under these Terms or applicable law.
7.2. Damaged or Incorrect Items. If an order arrives damaged, defective, or incorrect, you must notify RemedyX within forty-eight (48) hours of confirmed delivery. This timeframe applies to internal resolution requests and does not affect any rights you may have under applicable payment network rules.
7.3. Claims Process. Claims must include photographic evidence of the product and packaging. Failure to notify us within forty-eight (48) hours may result in denial of the internal claim unless otherwise required by law. This timeframe applies to RemedyX’s internal resolution process and does not limit any rights available under applicable law or payment-network rules.
7.4. Exclusions. Refunds or replacements are not issued for:
- Buyer's remorse;
- Carrier delays;
- Inability to use the product due to lack of research facility/knowledge;
- Delays, inspections, or actions taken by shipping carriers or regulatory authorities. However, if an order is not successfully delivered, customers may contact support for resolution options in accordance with applicable payment network rules.
8. Shipping & Fulfillment
8.1. Processing Time. Orders are processed and ship within 1 business day of confirmed payment, Monday–Friday. Orders placed on weekends are processed but held for Monday shipment to avoid carrier delays. Orders are not processed on holidays.
8.2. Transfer of Risk. Title and risk of loss pass to you upon confirmed delivery by the carrier to the shipping address provided at checkout, as reflected in carrier tracking records.
8.3. Delivery Estimates. Shipping times are estimates only and are not guaranteed.
9. Chargebacks & Payment Disputes
9.1. Good-Faith Resolution. Customers are encouraged, but are not required, to contact support@remedyx.bio before initiating a chargeback or payment dispute. RemedyX Holdings LLC d/b/a RemedyX will make reasonable efforts to review good-faith concerns and respond within 24–48 hours when practicable. Contacting RemedyX does not limit any right to contact a financial institution or exercise rights under applicable law or payment-network rules.
9.2. Dispute Evidence. If a chargeback or payment dispute is opened, RemedyX may provide the payment processor, bank, or card issuer with accurate and relevant records, including:
- IP address and UTC timestamp of the order;
- Proof of your specific Research Use Acknowledgment;
- Order, payment, communication, and delivery records; and
- Tracking status and delivery confirmation.
9.3. Fraudulent or Materially False Claims. Knowingly submitting materially false information or using a payment dispute to obtain money or merchandise without a legitimate basis may result in account restriction, cancellation of pending orders, and recovery of documented losses to the extent permitted by law. A good-faith dispute, an error, or an exercise of rights under applicable law or payment-network rules is not prohibited by this section.
9.4. Timestamp Standard. All timestamps in dispute evidence, compliance records, and transaction logs are recorded and displayed in Coordinated Universal Time (UTC).
10. Product Information & Certificates of Analysis
10.1. Informational Use. Product descriptions, chemical data, and Certificates of Analysis (COA) are provided for informational and identification purposes only.
10.2. Batch Specificity. COAs reflect the testing of specific production batches and do not guarantee identical results for every unit or future batches.
10.3. No Instructions. Nothing on the website should be construed as instructions for use, medical advice, or a recommendation for specific applications.
10.4. Analytical Methods & Variability. Analytical results and purity values are those reported by the independent laboratory that performed the testing for the identified batch and reflect the results obtained at the time of analysis using that laboratory's specific methodologies, instrumentation, and procedures. Testing methods, calibration standards, equipment, and protocols vary between laboratories; therefore, results obtained by different facilities may not be identical. Analytical characteristics may change due to storage conditions, handling, or other environmental factors.
10.5. No Clinical or Therapeutic Claim. Product descriptions, technical specifications, Certificates of Analysis, laboratory reports, and other analytical documentation are provided solely to characterize research materials and do not establish clinical suitability, therapeutic efficacy, safety for administration, or fitness for human or veterinary use. Nothing on this website constitutes medical advice, prescribing information, dosing guidance, or a therapeutic, diagnostic, disease-treatment, or disease-prevention claim.
11. Disclaimer of Warranties
TO THE FULLEST EXTENT PERMITTED BY LAW, ALL PRODUCTS ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
12. Limitation of Liability
12.1. Exclusion of Certain Damages. TO THE MAXIMUM EXTENT PERMITTED BY LAW, REMEDYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE WEBSITE, AN ORDER, OR A PRODUCT.
12.2. Aggregate Limit. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE PRODUCTS EXCEED THE AMOUNT YOU PAID FOR THE SPECIFIC PRODUCT GIVING RISE TO THE CLAIM.
12.3. Non-Waivable Rights. Nothing in this section excludes or limits liability, remedies, or rights that cannot lawfully be excluded or limited under applicable law. These limitations apply only to the fullest extent enforceable in the applicable jurisdiction.
13. Indemnification
You agree to indemnify, defend, and hold harmless RemedyX, its officers, directors, employees, and agents from and against claims, liabilities, damages, losses, judgments, penalties, and reasonable expenses (including legal fees) arising from or related to your violation of these Terms; your unauthorized use, transfer, resale, redistribution, storage, handling, or disposal of a product; your violation of applicable law; your misuse of a product; or your violation of any third-party rights. This obligation applies to claims arising from your acts or omissions and those of persons or facilities to whom you provide a product.
14. Binding Arbitration & Class Action Waiver
14.1. Binding Individual Arbitration and Waiver of Court Proceedings. To the fullest extent permitted by applicable law, you and RemedyX agree that any dispute or claim arising out of or relating to these Terms, the website, an order, or a product shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA"), rather than in a court of law. BY AGREEING TO ARBITRATION, YOU AND REMEDYX EACH UNDERSTAND AND AGREE THAT YOU ARE WAIVING THE RIGHT TO HAVE SUCH DISPUTE DECIDED BY A JUDGE OR JURY IN COURT. Nothing in this provision requires arbitration of a claim that applicable law prohibits from being subject to mandatory arbitration.
14.2. Venue. Arbitration shall take place in the State of New Jersey.
14.3. Class Action Waiver. YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION.
14.4. Opt-Out Right. You may opt out of this arbitration agreement by providing written notice to support@remedyx.bio within thirty (30) days of your first purchase under these Terms. Opt-out applies only to the account associated with the qualifying purchase and does not carry over to any other account. If these Terms are materially revised to expand the scope of arbitration, existing customers who did not previously opt out will have an additional thirty (30) days from the date of the revision to opt out of the revised arbitration provision. If you opt out, neither party shall be bound by the arbitration provision.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law principles.
For any claim that is not subject to the arbitration provision, you and RemedyX consent to the exclusive jurisdiction and venue of the state and federal courts located in Bergen County, New Jersey, except where applicable law requires a different forum.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
17. Waiver
No failure or delay by RemedyX in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or further exercise or the exercise of any other right, power, or privilege.
17.1. Survival. Provisions that by their nature should survive completion, cancellation, or termination of an order or account will survive, including the research-use restrictions, purchaser representations, payment obligations, refund and dispute provisions, product-information disclaimers, warranty disclaimers, limitations of liability, indemnification obligations, governing-law and dispute provisions, and record-retention rights.
18. Modifications to Terms
RemedyX reserves the right to modify these Terms from time to time. Revised Terms apply prospectively to orders submitted after the effective date of the revised Terms. For each order, the version of these Terms, applicable policies, and Checkout Compliance Acknowledgment presented to and affirmatively accepted by the purchaser during checkout governs that order. Material revisions affecting arbitration remain subject to the opt-out provisions of Section 14.4, where applicable.
19. Entire Agreement & Acceptance
By placing an order and affirmatively accepting the applicable checkout terms and acknowledgments, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions, together with the Compliance & Research Use Policy, Privacy Policy, Refund & Return Policy, and Shipping Policy (collectively, the “Agreement”).
These documents constitute the agreement between you and RemedyX Holdings LLC d/b/a RemedyX concerning your use of the website and purchase of products and supersede prior or contemporaneous representations or communications concerning the same subject matter, except for terms that cannot lawfully be superseded.
The Compliance & Research Use Policy is incorporated into these Terms by reference and constitutes a material condition of every purchase of research products from RemedyX.
20. Limitation on Claims
Any claim arising out of or relating to these Terms or the products must be brought within one (1) year after the cause of action arises, or such claim is permanently barred. This limitation does not apply to claims that cannot be contractually shortened under applicable New Jersey law or applicable federal consumer protection statutes.
21. Force Majeure
RemedyX shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemics, labor disputes, supply chain disruptions, governmental actions, regulatory changes, carrier delays, power failures, cyberattacks, internet service interruptions, or interruptions in payment processing or banking services.
22. Account Use & Restrictions
22.1. Individual Account Use. Each customer account is assigned to the registered user and may not be shared, transferred, assigned, or used by another individual or entity.
22.2. Prohibited Conduct. You may not create multiple accounts to circumvent a suspension or ban, access rescinded promotional offers, or otherwise evade restrictions imposed on a prior account. Use of another person's account credentials, or permitting another person to use your credentials, is prohibited.
22.3. Enforcement. RemedyX reserves the right to terminate accounts determined to be duplicates or created in bad faith, and to cancel any orders associated with such accounts. Promotional benefits applied to orders placed through a duplicate or suspended account are void.
